AeroBuddy — Terms and Conditions

1. About these Terms

These Terms and Conditions ("Terms") govern your access to and use of AeroBuddy ("AeroBuddy", "the Service", "we", "us" or "our").

AeroBuddy is a free online syndicate-management service designed to help users organise, manage and administer aviation-related syndicate information and activities.

By accessing or using AeroBuddy, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Service.

These Terms apply together with our Privacy Policy and any other policies or notices made available through AeroBuddy.

2. Eligibility

You must be legally capable of entering into a binding agreement to use AeroBuddy.

If you use AeroBuddy on behalf of another person, syndicate, organisation or entity, you confirm that you have authority to do so and that you have the authority to accept these Terms on their behalf.

AeroBuddy is intended for lawful use only.

3. The AeroBuddy Service

AeroBuddy is provided as an online management and organisational tool.

Depending on the features available at the time, the Service may allow users to manage information relating to aviation syndicates, members, aircraft, financial or administrative information, usage, bookings, communications and other related records.

Features may be added, removed, changed or discontinued from time to time.

We do not guarantee that every feature will remain available indefinitely.

4. Free Service

AeroBuddy is currently provided free of charge.

We reserve the right to introduce paid features, subscription plans or other charges in the future. If we do so, we will provide appropriate notice and any applicable charges will be clearly communicated before you are required to pay.

Nothing in these Terms requires you to purchase any paid service.

5. Your Account

Where registration or an account is required, you are responsible for:

  • providing accurate information;
  • keeping your login credentials secure;
  • preventing unauthorised access to your account;
  • notifying us if you believe your account has been compromised; and
  • ensuring that activity carried out through your account complies with these Terms.

You must not share your login credentials with another person where doing so would compromise the security of your account or the privacy of other users.

You are responsible for activity carried out through your account unless that activity resulted from a security failure that was not reasonably within your control.

6. Information You Upload or Enter

You retain ownership of information and content that you submit to AeroBuddy ("User Content"), subject to the rights necessary for us and our service providers to operate the Service.

You are responsible for ensuring that you have the necessary rights, permissions and lawful basis to enter or upload information concerning other individuals.

For example, if you enter the name, email address, telephone number or other personal information of a syndicate member, you are responsible for ensuring that you are entitled to provide that information to AeroBuddy and that the individual has been given any privacy information required by applicable data-protection law.

You must not upload or enter information that you are not legally entitled to process or share.

7. Personal Data and Privacy

We take privacy seriously.

Personal data submitted to or collected through AeroBuddy is handled in accordance with our Privacy Policy.

Our Privacy Policy explains, among other things:

  • what personal information we collect;
  • how and why we use it;
  • our lawful bases for processing;
  • how information is stored;
  • who we may share information with;
  • how long information may be retained;
  • how international transfers are handled;
  • your rights under applicable data-protection law; and
  • how you can contact us about your personal data.

Where applicable, AeroBuddy may use third-party technology providers to host, operate, secure or support the Service.

AeroBuddy is hosted using the Base44 platform. Base44 may process information on our behalf in connection with providing its platform and hosting services. Base44 provides a Data Processing Agreement for applicable processing activities.

8. Your Data Protection Responsibilities

If you use AeroBuddy to manage information relating to other people, including syndicate members, you may have your own responsibilities under applicable data-protection law.

You are responsible for determining whether you are acting as a data controller, joint controller or another role in relation to information you enter into AeroBuddy.

You must not use AeroBuddy to process personal data unlawfully.

You must also ensure that any personal data you enter is:

  • collected and processed lawfully and fairly;
  • relevant and limited to what is necessary;
  • accurate and kept up to date where appropriate;
  • not retained for longer than necessary; and
  • handled securely.

You should not enter special-category personal data, highly sensitive information, payment-card information, passwords or other information into AeroBuddy unless the Service specifically provides for such information and you have a lawful basis and appropriate safeguards for doing so.

9. Prohibited Use

You must not use AeroBuddy:

  • for any unlawful purpose;
  • to violate the rights of another person;
  • to upload malicious code, malware or other harmful material;
  • to attempt to gain unauthorised access to accounts, systems or data;
  • to interfere with the operation or security of AeroBuddy;
  • to impersonate another person or organisation;
  • to knowingly provide false or misleading information;
  • to use the Service to harass, threaten or abuse another person;
  • to upload material that infringes another person's intellectual-property rights;
  • to process personal data where you do not have an appropriate lawful basis or authority;
  • to attempt to reverse engineer, decompile or otherwise improperly access the underlying software or infrastructure; or
  • to use AeroBuddy in a way that could damage, disable, overburden or impair the Service or its infrastructure.

We reserve the right to suspend or restrict access where we reasonably believe the Service is being misused or these Terms are being breached.

10. Aviation and Financial Information

AeroBuddy is an organisational and management tool.

AeroBuddy does not provide professional aviation, engineering, legal, accounting, tax, insurance or financial advice unless expressly stated otherwise.

Information recorded in AeroBuddy should not be treated as a substitute for advice from an appropriately qualified professional.

You remain responsible for ensuring that your syndicate complies with all applicable aviation, ownership, operating, insurance, tax, accounting and other legal requirements.

In particular, AeroBuddy does not guarantee that the use of the Service will satisfy any regulatory, accounting, insurance or aviation-management requirement applicable to you or your syndicate.

11. Accuracy of Information

AeroBuddy is intended to assist with the organisation and management of information.

We do not guarantee that information entered into the Service is accurate, complete or up to date.

You are responsible for checking important information before relying on it, particularly information relating to aircraft, maintenance, finances, bookings, members, legal obligations or safety.

12. Availability of the Service

We will use reasonable efforts to keep AeroBuddy available, but we do not guarantee that the Service will always be available, uninterrupted or error-free.

The Service may occasionally be unavailable because of:

  • maintenance;
  • updates;
  • technical problems;
  • security incidents;
  • failures affecting third-party providers;
  • internet or telecommunications failures; or
  • circumstances outside our reasonable control.

We may suspend access where reasonably necessary to protect the Service, users or data.

13. Data Backups

You should retain appropriate independent records or backups of important information.

Although reasonable measures may be used to protect data stored through AeroBuddy, we do not guarantee that data will never be lost, corrupted, altered or become temporarily unavailable.

AeroBuddy should not be treated as the sole repository for information that is legally, financially, operationally or otherwise critical.

14. Intellectual Property

Unless otherwise stated, AeroBuddy and its underlying software, design, branding, graphics, text and functionality are owned by us or our licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use AeroBuddy for its intended purpose.

You must not copy, reproduce, distribute, sell, licence, modify or commercially exploit the Service or its underlying software except where expressly permitted by law or with our written permission.

You retain ownership of your User Content.

By submitting User Content, you grant us the limited rights necessary to host, store, reproduce, transmit and otherwise process that content for the purpose of providing, securing and maintaining AeroBuddy.

15. Third-Party Services

AeroBuddy may rely on third-party services and infrastructure, including hosting, authentication, analytics, communications or other technology providers.

The availability and operation of third-party services may be outside our control.

Your use of AeroBuddy may therefore be subject to certain third-party terms and policies in addition to these Terms.

Base44 provides the underlying application-development and hosting platform used by AeroBuddy. Base44's own terms and privacy documentation may apply to its processing and operation of its platform.

16. Cookies and Similar Technologies

AeroBuddy may use cookies, local storage or similar technologies that are necessary for authentication, security, functionality and operation of the Service.

Where applicable law requires consent for non-essential cookies or similar technologies, we will request that consent before using them.

17. Security

We take reasonable technical and organisational measures designed to protect AeroBuddy and information processed through it.

However, no internet-based service can be guaranteed to be completely secure.

You acknowledge that you use the Service over the internet and that you should take reasonable precautions to protect your own devices, accounts and credentials.

If you become aware of a suspected security vulnerability or unauthorised access affecting AeroBuddy, please contact us promptly.

18. Suspension and Termination

We may suspend or terminate your access to AeroBuddy if:

  • you materially breach these Terms;
  • you use the Service unlawfully;
  • your use presents a security or operational risk;
  • suspension is reasonably necessary to protect other users or the Service; or
  • we discontinue the Service.

You may stop using AeroBuddy at any time.

Where reasonably practicable, we will provide notice before terminating access, except where immediate action is necessary for legal, security or operational reasons.

19. Deletion of Your Account and Data

Where AeroBuddy provides an account-deletion facility, you may use that facility to request deletion of your account.

You may also contact us using the contact details provided in our Privacy Policy to exercise applicable data-protection rights.

Deletion may be subject to legal, regulatory or legitimate operational requirements that require certain information to be retained for a limited period.

20. Disclaimer

To the maximum extent permitted by law, AeroBuddy is provided on an "as available" and "as is" basis.

We do not guarantee that:

  • the Service will meet every user's requirements;
  • the Service will be uninterrupted or error-free;
  • information available through the Service will always be accurate or complete;
  • the Service will be available at all times; or
  • defects will always be corrected.

Nothing in these Terms excludes or limits any liability or right that cannot lawfully be excluded or limited under applicable law.

21. Limitation of Liability

To the maximum extent permitted by law, we will not be responsible for indirect, incidental, special or consequential loss arising from your use of, or inability to use, AeroBuddy.

This may include loss of profits, revenue, business opportunity, goodwill or anticipated savings.

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • breach of legal rights that cannot lawfully be excluded;
  • liability that cannot legally be limited or excluded; or
  • any other liability that applicable law does not permit us to exclude or limit.

22. Your Responsibility for Your Use of the Service

You are responsible for ensuring that your use of AeroBuddy is appropriate for your circumstances and complies with applicable law.

You should maintain appropriate independent records of important information and should not rely exclusively on AeroBuddy for information where loss or inaccuracy could cause significant financial, legal, operational or safety consequences.

23. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we will take reasonable steps to notify users where appropriate.

The updated Terms will be published on this page with a revised "Last updated" date.

Your continued use of AeroBuddy after the updated Terms become effective constitutes acceptance of the revised Terms.

24. Privacy and Data Protection Rights

Nothing in these Terms limits your rights under applicable data-protection legislation.

If you are located in the UK or European Economic Area, you may have rights including, where applicable:

  • the right to be informed about the processing of your personal data;
  • the right to access your personal data;
  • the right to request correction of inaccurate personal data;
  • the right to request erasure;
  • the right to request restriction of processing;
  • the right to data portability;
  • the right to object to certain processing; and
  • rights relating to automated decision-making and profiling where applicable.

25. Governing Law

These Terms are governed by the laws of England and Wales, unless applicable mandatory law provides otherwise.

The courts of England and Wales shall have jurisdiction over disputes arising from these Terms, subject to any mandatory rights you may have under the laws applicable to you.

26. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be treated as modified or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

27. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated into them, constitute the agreement between you and us concerning your use of AeroBuddy.
